OFFICIAL RULES

1. NO PURCHASE NECESSARY. Open to legal residents of the United States, (EXCLUDING FLORIDA, PUERTO RICO AND OTHER US TERRITORIES) and Washington, D.C. who are 18 years old or over as of the date of entry. Offer void where prohibited by law. The Ali Ticket Giveaway ("the Giveaway") begins at 12:00, PM ET Tuesday Dec. 11, 2001 and runs through 11:59 PM ET, Thursday, Dec. 13, 2001 (the "Giveaway Period"), and consists of a ticket giveaway to see the motion picture film, Ali, (the "Film"), in one of the following eight (8) cities during the Giveaway Period.

Advance Screening Cities, (the "City" or "Cities"):

For purposes of these Official Rules, except where noted, all times are Eastern Time (ET).

2. HOW TO ENTER: To enter the Giveaway, go to the web site at http://www.espn.go.com and click on the Page 2 tab to access the entry form. Only online entries through the registration page will be accepted. No faxed, mailed, e-mailed, or phoned in entries are allowed. You must have Internet access as of December 10, 2001 to be eligible to participate.

You may be asked to consent to receive promotional e-mails for upcoming Walt Disney Internet Group promotions. Consenting to receive promotional or reminder e-mails is optional and does not have to be agreed to in order to be eligible to enter the Giveaway.

After entering as described above, your name will be entered into a random drawing for the chance to win a pass to see the Film in one of the Cities of your choice. There will be a separate drawing for every City. The Cities, theaters, and advance screening times are as follows:

E-MAIL CHANGE OF ADDRESS POLICY: It is the sole responsibility of the entrant to notify EIV in writing if the entrant changes his/her e-mail address. (To do so, write to: Ali, EIV c/o WDIG 506 Second Avenue, Suite 2100, Seattle, WA 98104).

By entering the Giveaway, the entrant grants permission to EIV and any sponsors listed on the registration page (the "Sponsors") to use their names, photographs, likenesses, voices, prize information and/or biographical information for publicity and promotional purposes without further compensation, unless prohibited by law.

3. GRAND PRIZE DRAWINGS (8): Fifty (50) Grand Prize winners will be selected in a random drawing in each City from among all eligible entries received during the entire Giveaway period. Drawing will be held on or about December 14, 2001.

4. GIVEAWAY PRIZES: Grand Prize(s): One pass will admit the winner plus one companion, ("Film Pass") to an advance screening of the Film in one of the Cities of the winner's choosing. Winners will be responsible for all transportation and incidental expenses.

The prizes will be awarded by EIV, and must be picked up at an ESPN Zone restaurant in one of the Cities. Winners should bring valid photo ID when picking up the Prize. By participating, entrants agree to the Official Rules and the decisions of EIV, which shall be final and binding in all respects.

5. PRIZE(S); APPROXIMATE RETAIL VALUE/ODDS OF WINNING: Prize(s): 400 Film Passes. Each Film Pass has an ARV of $20.00

TOTAL ARV: $8,000.00

Odds of winning depend on the number of eligible entries received. ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER.

Winner is solely responsible for any and all taxes on prize, as well as any and all expenses, including travel and transportation, relative to participation in the Giveaway (including acceptance of prize) not specified herein. Prize returned as undeliverable or otherwise not claimed within two (2) days after being sent will be forfeited and awarded to an alternate winner. Prize is not transferable.

6. ELIGIBILITY: Employees or agents of EIV, any Sponsor, and their respective parent companies, affiliates, subsidiaries, advertising/promotional agencies, and the members of their immediate families or those persons living in the same household of such individuals are ineligible to enter or win. All federal, state and local laws and regulations apply. Void where prohibited by law.

7. CONDITIONS OF PARTICIPATION: If potential winner does not respond to notification within one (1) day of its transmission, or should an e-mail notification, after one (1) attempt, be returned as undeliverable, the potential winner will be disqualified and an alternate winner will be selected. Prize Winners will be required to sign and return an Affidavit of Eligibility, a Liability Release, and, where legal, Publicity Release, within two (2) days of the date printed on the prize notification. In the event of non-compliance with these requirements, winner may be disqualified and an alternate winner selected. EIV reserves the right, in its sole discretion to cancel, terminate, or suspend the Giveaway should viruses, bugs, unauthorized human intervention or other causes beyond the reasonable control of EIV, corrupt or impair the administration, security, fairness, or proper play of the Giveaway or make The Giveaway impracticable to continue. In such event, the prize winners will be selected by random drawing from all eligible entries received up to the time of such cancellation, termination or suspension. In the event that the advance screening of the Film is unavailable for any reason, winner agrees that EIV and its agents shall have no further obligations hereunder.

Entrants agree to abide by the terms of these Official Rules and by the decisions of the judges, which are final on all matters pertaining to the Giveaway. The Giveaway is governed by, and these rules will be construed and interpreted pursuant to, the laws of the United States. All federal, state and local laws and regulations apply.

EIV is not responsible for typographical or other errors in the offer or administration of The Giveaway, including but not limited to errors in advertising, the Official Rules, the selection and announcement of the winners or the distribution of the prizes.

8. CONDUCT: The Official Rules will be posted at the contest web site throughout the Giveaway. EIV reserves the right at their sole discretion to disqualify any individual they find to be tampering with the entry process or the operation of the contest or web site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. EIV reserves the right to lock out an entrant whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter the contest. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY ALTER OR DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, EIV RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

9. LIMITATIONS OF LIABILITY: Neither EIV nor Sponsors are responsible for any incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the contest or by any technical or human error which may occur in the processing of submissions in the contest. EIV and Sponsors assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft of or destruction or unauthorized access to, or alteration of, entries. Neither EIV nor Sponsors are responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or entrants due to or resulting from technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this contest.
